Frequently Asked Questions
What is FMV in the context of ESOPs?
FMV (Fair Market Value) is the current estimated market value per share, typically determined by the company's latest funding round valuation or a formal 409A valuation report.
What does "underwater" mean for stock options?
Your options are underwater when the strike price is higher than the current FMV — exercising them would result in a loss, so it is rarely worth exercising underwater options.
When are ESOPs taxed in India?
ESOPs are taxed at two points: at exercise (the difference between FMV and strike price is taxed as perquisite/salary) and at sale (capital gains tax applies on the profit from the sale of shares).
What is a vesting cliff period?
The cliff is a minimum employment period (e.g., 1 year) before any stock options vest. If you leave before the cliff, you get zero shares even if options were 'promised'. After the cliff, vesting typically continues monthly or quarterly.
How is ESOP value calculated?
ESOP value at exercise = (Current FMV – Strike Price) × Number of Vested Shares. This gross value is subject to income tax as a perquisite at your applicable tax slab rate.
Should I exercise my ESOPs before my company's IPO?
Pre-IPO exercise locks in a lower FMV, potentially reducing taxable perquisite income at exercise. However, there is liquidity risk if the IPO is delayed or the share price falls post-IPO. Consult a tax advisor for your specific situation.
What is the difference between ISOs and NSOs?
ISOs (Incentive Stock Options) and NSOs (Non-Qualified Stock Options) are US-origin terms. In India, most ESOPs are equivalent to NSOs and are taxed as salary/perquisite income at the time of exercise.
What happens to my ESOPs if I leave the company?
You typically have 30–90 days (the exercise window) after leaving to exercise vested options before they expire. Unvested options are forfeited. Check your ESOP agreement for the exact terms applicable to your grant.
Can I negotiate more ESOPs as part of my job offer?
Yes. ESOP grants are often negotiable, especially at startups. Research the company's funding stage, typical grants for your role and seniority, and use our Negotiation tool to build a data-backed counter-offer.
How accurate is this ESOP calculator?
The calculator applies the standard mathematical formula for vesting schedules and exercise-time tax. Actual tax may vary based on surcharge, cess, and other income. Always consult a CA for official tax filing purposes.
